Terms of Service

INTRODUCTION

These Terms of Service (“Terms”) are a legal contract between you (“User,” “you,” or “your”) and AIMasterReview LLC (“AIMasterReview,” “we,” “us,” or “our”). These Terms govern your access to and use of the AIMasterReview website located at aimasterreview.com, the Vendor Portal, and all related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must stop using the Services immediately.

IMPORTANT: These Terms contain a binding arbitration provision that requires the resolution of disputes on an individual basis. By accepting these Terms, you agree to resolve any disputes with AIMasterReview through binding individual arbitration, except as provided herein. You have the right to opt out of the arbitration provision within 30 days of first accepting these Terms.

AGE RESTRICTIONS

Our Services are intended for users who are 18 years of age or older. By using our Services, you represent and warrant that you are at least 18 years old and have the legal right and ability to enter into these Terms.

CHANGES TO TERMS OF SERVICE

AIMasterReview reserves the right to revise these Terms at its sole discretion at any time. All changes are effective immediately when posted and apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of revised Terms means you accept and agree to the changes.

ABOUT AIMASTERREVIEW

AIMasterReview bridges the gap between software buyers and vendors, providing a comprehensive platform where businesses can discover software solutions, compare options, read and write reviews, and make informed purchasing decisions.

USER ACCOUNTS

To access certain features of our Services, you may need to register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for any losses due to unauthorized use of your account. All information you provide must be correct, current, and complete.

AUTHORIZED USERS

You are responsible for all access to the Services provided directly or indirectly through your account. Acts by Authorized Users that breach these Terms are deemed your breach. You must make Authorized Users aware of these provisions and ensure compliance.

USER CONTENT

“User Content” means any information, data, or content you upload, post, or submit through our Services. You are solely responsible for your User Content and assume all risks associated with it. User Content is not treated as confidential by AIMasterReview.

By submitting User Content, you grant AIMasterReview an irrevocable, perpetual, nonexclusive, transferable, royalty-free, worldwide license to use, reproduce, modify, display, distribute, and create derivative works from your User Content.

AIMasterReview reserves the right to:

  • Remove or refuse any User Content at its sole discretion
  • Take action against violations of these Terms
  • Disclose your identity to any third party who claims your content violates their rights
  • Take legal action for unauthorized use of the Services
  • Terminate or suspend your access for any reason

PROHIBITED USES

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. Prohibited activities include, but are not limited to:

  • Violating any applicable federal, state, local, or international law or regulation
  • Exploiting, harming, or attempting to exploit or harm minors
  • Sending or facilitating the sending of unsolicited communications (spam)
  • Impersonating any person or entity
  • Using the Services for competitive purposes, including copying, soliciting, or conducting competitive/market analysis
  • Using unauthorized third-party applications to access the Services
  • Overloading, damaging, or interfering with the proper working of the Services
  • Using automated means (robots, spiders, scrapers) to access the Services
  • Introducing malware, viruses, or other harmful code
  • Attempting unauthorized access to any portion of the Services
  • Conducting denial-of-service attacks

TERMS OF SERVICE VIOLATIONS AND TERMINATION

Violations of these Terms may result in immediate account termination without warning or refund, plus further liability. AIMasterReview may suspend or terminate your access for any reason without notice. You may terminate your account by deleting it or contacting legal@aimasterreview.com. AIMasterReview may retain certain information for analytics, fraud prevention, and fee collection purposes.

PAYMENT METHODS

Certain Premium Features may be offered for a fee. By subscribing to paid features, you authorize us to charge your payment method. We may use third-party payment processors such as Stripe to process payments. You must ensure sufficient funds or credit are available. AIMasterReview is not liable for limitations imposed by your financial institution.

INTELLECTUAL PROPERTY RIGHTS

All content on the Services, including text, graphics, logos, images, software, and other material, is the property of AIMasterReview or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a non-exclusive, non-transferable, non-sublicensable, limited, revocable license to access and use the Services for personal, non-commercial purposes.

You must not reproduce, distribute, modify, create derivative works of, or otherwise exploit any content without our prior written permission. The AIMasterReview name, logo, and all related trademarks require written permission for use.

DIGITAL MILLENNIUM COPYRIGHT ACT

AIMasterReview respects the intellectual property rights of others. If you believe that any content on our Services infringes your copyright, please send a DMCA notice to legal@aimasterreview.com with the required elements as specified by the DMCA.

THIRD-PARTY CONTENT, ADVERTISEMENTS AND PROMOTIONS

The Services may contain links to third-party websites, products, or services that are not owned or controlled by AIMasterReview. We have no control over the content, privacy policies, or practices of any third-party websites. You access and use third-party content at your own risk. The Services may also contain sponsored content and advertisements.

COMMUNICATIONS & MARKETING

By providing your contact information, you consent to being contacted by AIMasterReview and its partners via phone, text (SMS/MMS), and email regarding your inquiry and related products/services. We may use automated technology for communications. This consent is not a condition of purchase. You may opt out at any time by replying STOP to text messages or using the unsubscribe link in emails. WARRANTY DISCLAIMER

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. AIMASTERREVIEW DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, AIMASTERREVIEW SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE PRECEDING 6 MONTHS OR $20, WHICHEVER IS GREATER. ANY CAUSE OF ACTION MUST COMMENCE WITHIN 1 YEAR AFTER THE CAUSE OF ACTION ACCRUES.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless AIMasterReview, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your infringement of any intellectual property or other rights of any third party; or (d) your User Content.

DISPUTES AND ARBITRATION

Before initiating formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@aimasterreview.com. If a dispute is not resolved within 60 days, it shall be finally resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under the Federal Arbitration Act (FAA).

CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. Class actions, class-wide arbitrations, and private attorney-general actions are strictly prohibited.

You may opt out of the arbitration provision within 30 days of first accepting these Terms by sending written notice to legal@aimasterreview.com. Small claims court remains available as an option.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

SURVIVAL

Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

ASSIGNABILITY

You may not assign or transfer your rights under these Terms without our prior written consent. AIMasterReview may freely assign its rights and obligations under these Terms.

WAIVER AND SEVERABILITY

No waiver by AIMasterReview of any term or condition shall be deemed a continuing waiver. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be eliminated or limited to the minimum extent necessary.

ACCESS OF THE SITE OUTSIDE THE UNITED STATES

If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws. You must not use the Services if you are located in a sanctioned or embargoed area or are on any denied persons lists.

CONSENT TO USE ELECTRONIC RECORDS

By using the Services, you consent to receive electronic records and communications from AIMasterReview.

ENTIRE AGREEMENT

These Terms constitute the sole and entire agreement between you and AIMasterReview regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
